End User License Agreement

1 Definitions

• "Software" includes all mobile games, applications, websites, and digital products developed and published by ZERION GAMES STUDIO.
• "License" is the right to use the Software granted under this Agreement.
• "User" / "You" is the individual or entity granted the License.
• "Content" includes source code, graphics, audio, characters, story, and all digital assets.
• "Virtual Items" are currency, items, characters, or in-game features that may be purchased or earned.
• "Licensor" is ZERION GAMES STUDIO and its authorized parties.

3 Intellectual Property Rights

All intellectual property rights in the Software belong to ZERION GAMES STUDIO or its licensors. This License does NOT transfer ownership.

3.1. Copyright

The Software is protected by:

• Vietnam Intellectual Property Law (Law No. 50/2005/QH11)
• Berne Convention for the Protection of Literary and Artistic Works
• TRIPS Agreement (WTO)
• WIPO Copyright Treaty (WCT)
• Copyright laws of countries where the Software is distributed

3.2. Trademarks

• "ZERION GAMES" — Company brand name
• "ZERION GAMES STUDIO" — Studio name
• Logos and design variants
• Individual game names and logos
• Slogans and taglines

3.3. Protected Content

• Source code: all programming code, scripts, algorithms
• Graphics: artwork, sprites, animations, UI/UX design
• Audio: music, sound effects, voice acting
• Content: story, characters, world-building, dialogue
• Gameplay: game mechanics, level design, balance data

5 Virtual Items & In-App Purchases

5.1. Ownership of Virtual Items

• All Virtual Items are owned by ZERION GAMES STUDIO
• You have limited usage rights, no ownership rights
• Virtual Items have no real monetary value and cannot be exchanged for cash
• Virtual Items cannot be transferred, sold, or traded

5.2. In-App Purchase Transactions

• Transactions are processed by Google Play or Apple App Store
• Subject to the payment policies of each platform
• Refunds per Google/Apple policy
• Confirmation required for every transaction
• Ability to lock IAP with password/biometric
• Auto-renewable subscriptions: Automatically renew until cancelled. Cancel at least 24 hours before the end of the period to avoid being charged. Manage/cancel subscriptions in your Apple ID settings or Google Play.
• Free trial: When offered, the free trial period is at least 3 days. After the trial ends, the subscription automatically converts to a paid subscription unless cancelled.

5.3. Changes and Removal of Items

We reserve the right to:

• Modify, update, or remove Virtual Items for game balance reasons
• Terminate game services with reasonable notice
• Remove Virtual Items when an account violates terms

6 User Content & Streaming

6.1. Streaming/Video Policy

✓ Permitted

• Livestream gameplay on YouTube, Twitch, Facebook Gaming
• Create Let's Play videos, reviews, tutorials
• Monetize gameplay videos via ads
• Join platform Partner programs

✗ Not permitted

• Place videos behind paywalls (paid to view)
• Sell gameplay videos
• Use content in advertising for other products

6.2. Fan Art & Derivative Works

✓ Permitted (non-commercial)

• Create fan art, fan fiction, cosplay
• Share on personal social media
• Participate in official community and contests

6.3. Attribution

When using content under the above rights, you must:

• Credit: "Game/Software © ZERION GAMES STUDIO"
• Not imply official sponsorship or affiliation (unless granted)
• Link to official website or store page

7 Third-Party Components

The Software may use third-party components with their own licenses:

Game Engine & Frameworks:

• Unity Technologies — Unity Runtime License
• Cocos — Cocos License Agreement

Third-Party Services:

• Google Firebase — Firebase Terms of Service
• Google AdMob — AdMob Terms of Service
• Facebook SDK — Facebook Platform Terms

Open Source Licenses:

• MIT License components
• Apache 2.0 License components
• BSD License components

8 Updates & Modifications

8.1. Software Updates

We reserve the right to:

• Release updates, patches, hotfixes at any time
• Require updates to continue using online services
• Change features, game balance, content
• Discontinue support for older versions

8.2. Service Termination

In the event a game/service is shut down:

• At least 30 days advance notice
• Cease selling new In-App Purchases
• Allow use of previously purchased Virtual Items until shutdown
• No refunds for previously purchased Virtual Items

9 Termination

9.1. Termination by You

You may terminate the License at any time by:

• Uninstalling the Software from all devices
• Deleting all backups
• Requesting account deletion (if applicable)

9.2. Termination by Us

We may terminate the License immediately if you:

• Violate any terms of this Agreement
• Use cheats, hacks, or interference software
• Engage in fraud or abuse
• Violate laws related to the Software

9.3. Consequences of Termination

• Loss of access to the Software and all Virtual Items
• No refunds for any transactions
• IP and Liability terms remain in effect

10 Disclaimer & Limitation of Liability

10.1. Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE". ZERION GAMES STUDIO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.2. Limitation of Liability

To the extent permitted by law, ZERION GAMES STUDIO is not liable for:

• Indirect, incidental, special, or consequential damages
• Loss of data, game progress, or Virtual Items
• Service interruption or technical errors
• Conduct of other users

10.3. Liability Cap

ZERION GAMES STUDIO's total liability shall not exceed the amount you paid for the Software in the 12 months prior to the claim, or USD 100, whichever is greater.

11 Export Control

You agree to comply with all applicable export control laws and regulations:

• Do not export or re-export the Software to embargoed countries
• Comply with U.S. Export Administration Regulations (EAR)
• Comply with sanctions lists of the UN, EU, and international bodies
• Do not use the Software for purposes prohibited by law

12 Governing Law & Dispute Resolution

12.1. Governing Law

• This Agreement is governed by the laws of Vietnam
• Additional applicable laws: IP Law, Cybersecurity Law, Consumer Protection Law

12.2. Dispute Resolution

Disputes shall be resolved in the following order:

1. Negotiation: Within 30 days
2. Arbitration: VIAC (Vietnam International Arbitration Centre)
3. Courts: Competent People's Courts in Hanoi

13 General Provisions

13.1. Entire Agreement

This Agreement, together with the Privacy Policy and Terms of Service, constitutes the entire agreement between you and ZERION GAMES STUDIO regarding the Software.

13.2. Severability

If any provision is declared invalid, the remaining provisions shall remain in full force.

13.3. No Waiver

Our failure to enforce any right does not constitute a waiver of that right in the future.

13.4. Changes to Agreement

We reserve the right to modify this Agreement. Material changes will be notified in-app or via email at least 14 days before they take effect.
